TownGuide – Terms & Conditions and Terms of Use

Welcome to Town Guide!

The following Terms & Conditions outline the terms of use for all users (all people; including listing owners, advertisers or the general public; registered and non-registered, and corporations) of the TownGuide website.

The Terms & Conditions apply to the entire site, and all social media platforms for which TownGuide has a presence.

Your use of the TownGuide site, and any Social Media Profiles or Pages indicates your acceptance of the following Terms & Conditions; you agree to be bound by these Terms & Conditions, and your consent to the TownGuide Privacy Policy.

Users agree not to post or comment in a threatening, defamatory, abusive, or offensive manner, act in any way unlawfully or post obscene, or indecent material of any kind.

Registered Users must provide current details, be responsible for managing their own passwords and will accept liability for any content submitted or posted to TownGuide from their account. TownGuide will suspend the use of the site if the user engages in any of the activities as outlined above.

All notices, guidelines and conditions published on the website are intended to be read and  included alongside these Terms & Conditions.

Terms & Conditions can be updated at the discretion of TownGuide at any time. Updated terms will override any previous versions and are effective as soon as published.

1         Using TownGuide & The TownGuide Directory

Town Guide provides access to a Listing Directory Service. TownGuide endeavours to ensure the validity of information within the directory, however, we cannot guarantee the accuracy of any content or information published on the TownGuide website or social media profiles/pages.

Users acknowledge when accessing the TownGuide Directory that information contained in the directory may not be current or fully accurate, and therefore take action or make decisions at their own risk. As a User, accessing the TownGuide Website or any associated social media platform, you indemnify Town Guide in regards to any claim made against Town Guide or any loss, or perceived loss, incurred directly or indirectly, whether this is by you or any third party. This includes, but is not limited to data published within the site, damage to software or hardware.

In addition, Town Guide has no liability to any user or party in relation to accuracy of data published on the TownGuide website or on any associated Social Media pages/profiles, including search results and listing content within the TownGuide Directory. TownGuide does not warrant that the website is free of viruses or bugs.

Content, listings and reviews represent the views of the writer and not necessarily the views of TownGuide. TownGuide also includes links to third party sites which are outside of TownGuide. Content, Listings, Links found within the TownGuide site does not indicate endorsement by TownGuide of the product or service provided by that third party.

All content (copy/text, data, images/logos and multimedia) within the TownGuide website and associated social media platforms is considered “personal-use” only and is not to be used for commercial purposes. 

2         Listing a business with TownGuide

The following Terms and Conditions (T&Cs) apply to all listings within the TownGuide Directory, both paid and free, and any upgrade or advertising plans and feature options.

2.1         Copyright & Ownership

Listing Owners who submit, or take ownership of content within the TownGuide Directory agree that they are the authorised representative of the business, and that by submitting content (copy / text, images / graphics, video and audio) to TownGuide in any format, they confirm they have the required copyright for the content submitted and that the content is not defamatory and does not infringe any law. Lisitng Owners indemnify TownGuide against all fees, damages and other expenses that are incurred by TownGuide where there is a breach of copywrite licence. 

2.2         TownGuide Rights

In submitting content to TownGuide, the Listing Owner provides TownGuide a perpetual licence to publish or use the content in any way, at any time. Content of Business Listings, Advertisements or Features may be used by TownGuide within the Town Guide website, and associated social media platforms for promotional purposes.

TownGuide reserves the rights to not use content which has been submitted, and where TownGuide deems necessary, modify the content (edit, modify or delete copy, images, keywords, categories and tags) as and when required.

TownGuide also reserves the right to remove a business listing from the Directory at any point it deems necessary. TownGuide is not liable for claim of loss or damage from publishing or not-publishing content within TownGuide.

2.3         Listing Fees

Paid Listings prices may be varied by TownGuide at any time. Existing listings and advertisements for which fees have already been paid will not increased until the next renewal. Any change to the listing fee will be reflected on subsequent renewals.

Paid Listings will commence from the date of submission, and end on the final day of the plan selected, unless the Listing Owner renews the plan. Listings which are not renewed by the renewal date will be automatically downgraded to a basic listing plan.

A Listing Owner can cancel a paid listing and request for the listing to be removed from the directory by providing TownGuide 1 (one) weeks’ notice to cancel via email. Remaining days within the listing plan will not be refunded if the listing is cancelled earlier than the end date of the plan, except in the instance of the cooling-off period, that is, the plan is cancelled within 3 days of purchase.

2.4         Guarantees

TownGuide does not guarantee that the TownGuide Directory service will be error free, or uninterrupted. Liability of TownGuide for breach of any statutory guarantee or any term or condition implied by law will be at the discretion of TownGuide; the re-supply of a given service, or the refund of any fee for the remaining duration of a listing on cancellation of a listing; the fee paid for the listing in this case will be refunded in full.

2.5         Reviews & Ratings

Listing Owners acknowledge that Directory listings may receive ratings and reviews from users, and that TownGuide is not liable for any content, reviews or ratings within the website or on any associated social media platform that causes you or your business any loss or damage, or perceived loss or damage.  

2.6         Indemnity

When listing with TownGuide, you agree to indemnify TownGuide and any affiliated companies, directors, or employees with regards to any claims of loss or expense which arise from use of the TownGuide website or associated social media platforms.

Listing Owners understand that by owning or submitting content for a listing or advertisement, they are solely responsible in ensuring the content does not infringe any copyright, licence or royalty rights, trademarks, or intellectual property. Listings and advertisements must not include anti-competitive comments or content, must not be defamatory, and ensure they comply to all fair trading and privacy practices.

3         Intellectual Property

All content and media, except for third party integrations, used within the TownGuide website, and on any associated social media platforms, is the IP of TownGuide and its Listing Owners or affiliate parties.

No content, or any material within the TownGuide website, and on any associated social media platforms, must not be used for commercial purposes in any part, and is protected by Australian and international Copyright and Intellectual Property laws.
